1. Introduction

Welcome to InmoPanama ("InmoPanama", the "Platform", "we", "our" or "us"), a real estate portal and technology platform operated by InmoTech Panamá. These Terms and Conditions govern access to and use of the website, software, applications, services, tools, subscriptions and related features offered by InmoPanama. By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms. If you do not agree with them, you must not access or use the Platform.

2. Nature of the Platform

InmoPanama is a technology platform that allows approved real estate professionals, agencies, developers and other authorized industry participants to publish, promote and manage properties, as well as access digital marketing, management and real estate promotion tools. InmoPanama does not act as a real estate broker, real estate agency, attorney, financial advisor, appraiser, lender, property manager, trustee, escrow service provider, or as a representative of any party involved in a real estate transaction. InmoPanama is also not a contractual party to any negotiation, agreement or transaction carried out between buyers, sellers, landlords, tenants, developers, agents, agencies or other users of the Platform.

3. User Accounts

Some features require creating a user account. By creating one, you agree to:

• Provide complete, truthful and up-to-date information.
• Keep your account information current.
• Protect the confidentiality of your access credentials.
• Take responsibility for all activity carried out from your account.

You must immediately notify InmoPanama of any unauthorized access, suspected misuse or security incident related to your account.

4. Eligibility and User Verification

InmoPanama's publishing and subscription services are intended exclusively for licensed real estate agents, licensed brokers, real estate agencies, developers and other industry participants previously approved by InmoPanama. Creating an account or submitting a registration request does not guarantee approval; InmoPanama may accept or reject it at its sole discretion.

By registering, you represent and warrant that you hold all licenses, permits, registrations and legal authorizations necessary to carry out your professional activity. InmoPanama may request licenses, certifications, government-issued identification, commercial registrations or other reasonable documentation to verify your identity and eligibility.

InmoPanama may reject, suspend, restrict or cancel any account that fails to meet the eligibility requirements, provides false, incomplete or misleading information, does not pass the verification procedures, or breaches these Terms or the Platform's policies. Approval of an account does not constitute a certification, recommendation, guarantee or permanent verification of a user's professional credentials, licenses or legal authority.

5. User Postings and Content

The user is solely responsible for all content they publish, upload, transmit or distribute through the Platform, including, among others: properties and real estate listings, photographs, videos, property descriptions, pricing information, contact details, and promotional or advertising material. By publishing content, you represent and warrant that:

• You have the legal right to publish it.
• The information is accurate, current and not misleading.
• The content does not infringe third-party rights.
• The content complies with applicable laws and regulations.

Although InmoPanama may carry out limited verifications or request supporting documentation, it does not guarantee the accuracy, validity or ongoing validity of licenses, certifications, authorizations, credentials, property ownership or any other information provided by users. Each user is solely responsible for keeping current the licenses, permits, registrations and legal requirements necessary for their activity. InmoPanama may review postings to verify compliance with its policies, but does not independently verify each published property and does not guarantee its accuracy, completeness, legality, ownership, availability or suitability. Users and visitors are responsible for conducting their own research and due diligence before entering into any agreement or transaction.

6. Subscriptions and Billing

Certain services are offered through paid subscription plans. By purchasing a subscription, you agree that:

• Fees are charged in advance.
• Subscriptions may renew automatically unless canceled beforehand.
• You authorize the recurring charges for the selected plan.
• Prices may change with reasonable notice.

It is your responsibility to keep a valid and up-to-date payment method. Subscription fees are non-refundable, except in the cases expressly provided for in the Refund Policy.

7. Refund Policy

Refund requests and subscription cancellations are governed by the Refund Policy published on the Platform. By purchasing a subscription, you acknowledge that you have read and accepted that policy.

8. Prohibited Activities

You may not:

• Publish false, fraudulent or misleading information.
• Impersonate another person or entity.
• Publish content that infringes intellectual property rights.
• Attempt to gain unauthorized access to systems or data.
• Distribute viruses, malware or malicious code.
• Interfere with the operation or security of the Platform.
• Use automated tools to collect data without authorization.
• Breach applicable laws and regulations.

9. Intellectual Property

The software, technology, logos, trademarks, databases, designs, content and other elements of the Platform are the property of InmoTech Panamá or its licensors and are protected by applicable laws. The user retains ownership of the content they publish but grants InmoPanama a worldwide, non-exclusive, royalty-free license to display, reproduce, distribute and promote such content in connection with the operation and marketing of the Platform.

10. Service Availability

InmoPanama does not guarantee continuous, uninterrupted, secure or error-free operation of the Platform, which may be affected by scheduled maintenance, software updates, hosting issues, Internet outages, cybersecurity incidents, power failures, natural disasters, force majeure or other circumstances beyond our reasonable control. InmoPanama will not be liable for interruptions, delays, data loss or service unavailability resulting from such circumstances.

11. Third-Party Services

The Platform may integrate or provide access to third-party services, such as payment processors, map providers, advertising platforms, analytics services or other external tools. InmoPanama is not responsible for the availability, accuracy, security, content or practices of such third parties.

12. Limitation of Liability

To the maximum extent permitted by applicable law, InmoPanama and InmoTech Panamá will not be liable for: errors or inaccuracies in listings or postings; loss of revenue or profits; loss of business opportunities; data loss; service interruptions; unauthorized access to accounts; transactions carried out between users and third parties; or indirect, incidental, special or consequential damages. Your use of the Platform is at your sole risk.

13. Indemnification

You agree to defend, indemnify and hold harmless InmoPanama, InmoTech Panamá and their officers, employees, contractors, affiliates and partners from any claim, liability, damage, loss, cost or expense arising from: your use of the Platform; your postings or content; your breach of these Terms; or your violation of applicable laws or third-party rights.

14. Content Moderation, Rejection and Removal

InmoPanama reserves the right, but not the obligation, to review, moderate, reject, edit, suspend, unpublish or remove any listing, image, content, account or posting when it reasonably determines that:

• The information is false, fraudulent or misleading.
• It is inaccurate, incomplete or outdated.
• It infringes third-party rights.
• It breaches these Terms, the Platform's policies or applicable laws.
• It affects the quality, integrity, security or reputation of the Platform.
• The user is no longer eligible.
• There is reasonable suspicion of fraudulent, abusive or illegal activity.

These rights may be exercised with or without prior notice. The removal, suspension or cancellation of content or accounts does not give rise to any right to compensation, indemnification or refund.

15. Account Suspension and Termination

InmoPanama may suspend or cancel accounts that do not pass verification, lose the required licenses, provide false information, engage in prohibited activities or breach these Terms. Suspension or cancellation does not automatically entitle you to a refund, except where required by applicable law or the Refund Policy.

16. Disclaimer of Warranties

The Platform is provided "as is" and "as available". InmoPanama disclaims all warranties, whether express or implied, including those of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Panama. Any dispute arising from these Terms or from use of the Platform is subject to the exclusive jurisdiction of the competent courts of the Republic of Panama.

18. Changes to the Terms

InmoPanama may update these Terms at any time. Continued use of the Platform after the changes are published constitutes acceptance of the updated Terms.
